End User License Agreement

THIS IS A DRAFT. It is written to satisfy Intuit's production requirement and to be defensible, but it has not been reviewed by a lawyer. Points marked [ATTORNEY] are where a real one should look before this is relied on. You already have counsel who has reviewed nine other documents for you — this is a short addition to that pile.
1. Who this is between
This agreement is between Solstice Partners, LLC ("we", "us") and the person or business using Field Engineer ("you").
By using the software you accept these terms. If you do not accept them, do not use it.
2. What Field Engineer is
Field service management software for heating, ventilation and air conditioning contractors. It handles surveys and sizing, pricing, dispatch, technician assistance, inventory, contracts, invoicing and payments.
It can connect to third-party services on your instruction, including QuickBooks Online, Stripe and Twilio.
3. What you may do with it
We grant you a non-exclusive, non-transferable licence to use Field Engineer for your own business.
You may not resell it, sublicense it, rent it out, or provide it as a service to others without our written agreement. [ATTORNEY] — if you intend to license this to other contractors, this clause needs rewriting rather than amending.
4. Your account and your data
Your business data is yours. Customer records, job history, invoices, photographs and settings belong to you, not to us.
We do not sell your data, and we do not share it with third parties except:
services you have connected on your own instruction, such as QuickBooks or Stripe
where we are required to by law
You are responsible for your credentials. An account is per person; sharing a login makes the audit trail meaningless, which matters most on the records you would want to rely on.
5. Connected services
When you connect QuickBooks Online, you authorise Field Engineer to read and write accounting data on your behalf, within the scope you approve at the time of connecting.
You can disconnect at any time, from Intuit's own account settings or from within Field Engineer. Disconnecting stops further access. It does not remove data already written to QuickBooks — that is your accounting record and it stays yours.
We store the connection tokens encrypted. We do not have access to your QuickBooks login.
6. Safety features, and their limits
Field Engineer includes safety enforcement: gas and carbon monoxide hard stops, refrigerant handling credential checks, and red-tag documentation.
These assist a qualified technician. They do not replace one.
[ATTORNEY] — this section carries the most exposure and deserves the closest look. The intent: the software surfaces information and enforces process, and every judgement about whether equipment is safe remains with the licensed technician on site. Nothing in the software licenses, certifies or supervises anybody.
7. What we do not warrant
The software is provided as is. We do not warrant that it will be uninterrupted, error-free, or that it will meet every requirement of your business.
We do not provide accounting, tax or legal advice. Contract templates, invoices and accounting exports are tools; how they are used, and whether they suit your circumstances, is between you and your own professional advisors.

8. Availability and support
We aim to keep the service available and will give reasonable notice of planned interruptions.

9. Fees
[ATTORNEY] — if Field Engineer is used only by Solstice Partners, this section can say so and stop. If it is ever licensed to another contractor, fees, renewal, price changes and refunds all need setting out here.
10. Ending it
You may stop using the software at any time and ask us to export your data.
We may end this agreement if you breach it materially and do not put it right within a reasonable period after we tell you.
On termination, your data remains available for export for thirty days. [ATTORNEY] — confirm this period, and what happens to data after it.
11. Changes to these terms
We may update this agreement. Material changes will be notified in the software or by email before they take effect.
Continuing to use it after that means you accept the change. If you do not, stop using it and ask for an export.
12. Governing law
This agreement is governed by the laws of the State of Colorado. [ATTORNEY] — confirm, along with venue and whether arbitration is wanted here as it is in your service contracts.

Where to put it
Intuit wants a publicly reachable URL. Add a Squarespace page at /eula and paste this in, the same way you did the SMS terms.
Then give Intuit https://empowerservice.co/eula.
One honest note on section 3 and 9
Those two clauses assume this is your own software for your own business.
If you ever license Field Engineer to another contractor — which the platform is plainly capable of, given it is built multi-tenant — both need rewriting rather than adjusting. That is a different document and a different conversation with your attorney.
Worth deciding which you are before this goes up, because it is easier to write the right one now than to change it after somebody has agreed to the wrong one.
